This seminar course on comparative company law will expose attending students to a new perspective of company law, based on the critical review of its founding principles, such as legal personhood, limited liability privilege for its members, fiduciary duties and centralized management, corporate purpose(s), corporate finance, etc.
"Sustainability" not only is concerned with environmental, labour and social issues, but it also questions the very structure of the main institution of the contemporary capitalism, i.e., the company, as it finds itself at the "intersection" of many of the goals sustainability urges all of us to reach. This course tries to review the traditional principles and rules governing the company in the light of those sustainability goals
Students should speak English and have some Contracts, Torts and Property law background. Of course, it would be even better if you already attended a Company Law (Business Law/Diritto commerciale) class, but this is not strictly necessary.
Instead, continuous attendance to classes is necessary in order to profit from this new learning experience, as reading assignments, class discussions and a weekly groupwork are the core of the learning method of this seminar course.
